Create Custom agreement templates

Build a Custom agreement template on a holding for documents you need signed outside a fundraise: upload and order its files, set who signs and in what order, and choose where the signed document is filed and whether the investor gets it.

By the end of this guide you'll have a Custom agreement template on a holding, ready to send for e-signature. Use a Custom template for any document you need signed that isn't an NDA or a subscription agreement, such as a side letter, a consent, or a tax form. You'll upload and order its documents, decide who signs and in what order, and choose where the signed document is filed.

Note

Agreement templates belong to a holding, so create the template on the holding whose investors will sign it. You need access to your firm's workspace and to that holding. Custom templates don't need a fundraise and aren't assigned to share classes or entity types. If an action is unavailable, ask a workspace admin to check your access.

Start a new Custom template

A holding's Agreement Templates page has two tabs. Send & Tracking opens first and is where you send Custom agreements and follow them. Templates is where you create and edit templates of every type. From a fundraise, you can reach the page through the overflow menu's Agreement Templates action.

  1. Open the holding's Agreement Templates page and select the Templates tab.
  2. Select New Template. The template drawer opens.
  3. Under Template Type, choose Custom. Two Custom-only controls appear: a GP counter-sign toggle under Signer Roles, and a Post Signing section.
  4. Enter a Template Name that tells your team what the document is. The name is how you pick the template when you send it.

Upload and order the documents

A template is built from one or more documents, which are put together in the order you set. While you're creating the template, the files you've picked sit in a bordered panel in the Files section, each on a numbered row showing the file's name and size. The section header shows how many files you've selected.

  1. In the Files section, browse for your documents or drag them in from your desktop. PDF, DOC and DOCX files are accepted, and you can add several at once.
  2. Check the row numbers: they're the order the documents appear in the template. To change it, drag a row to a new position. The numbers update while you drag.
  3. To drop a file, use its remove control. Only that file is removed, and the remaining rows renumber without gaps.
  4. To add more, drop further files onto the section at any time. They're added after the files already there rather than replacing them.

Tip

Each file can be up to 10MB. A larger file isn't added to the list, and no message tells you so, so if a file you picked doesn't appear as a row, check its size.

Set who signs and in what order

Signer Roles lists the template's roles as a vertical list, top to bottom in the order people sign. Every Custom template is signed by the Investor, the contact you send it to. Whether your firm also signs, and who else signs, is up to you.

  1. Decide whether your firm counter-signs. The GP counter-sign toggle sits above the role list and is off by default. Turn it on to add GP as the last signer; turn it off to remove only GP. With no other roles, the template is signed by the Investor alone, or by the Investor and then GP.
  2. To have someone else sign as well, such as a witness or a compliance officer, add a role and give it a name. Each role on a template needs its own name, and Investor and GP are reserved, so they can't be used as role names.
  3. Use the move controls to put the roles in signing order. Investor starts first by default and can be moved among the roles you add. GP, when it's on, always stays last and can't be moved, renamed or removed in the list.
  4. Remove a role you added if you no longer need it. Investor can't be renamed or removed.

Warning

Every role you add is mandatory. When you send the template, you assign each added role to a contact for every recipient, and nothing goes out until every role is filled. Signers are then asked to sign one at a time in the order you set here. Sending is covered in Send Custom agreements for signature.

Note

Custom templates don't offer the Internal option you may have seen on subscription agreement roles. There's also a maximum number of roles per template, and the add control stops being offered once you reach it.

Choose what happens after signing

Post Signing applies after everyone has signed the agreement. It decides where the signed document is filed in the holding's Document Center and whether the investor gets it.

  1. Pick the destination folder. The selector lists the holding's Document Center folders and starts on the holding's Other folder, which Covercy One manages for you. Leave it there, or select another folder of the same holding.
  2. To file signed documents in a new folder, select the folder it should sit inside and create a subfolder. The new folder appears under the selected one and is selected for you. Renaming and deleting folders isn't offered here; do that in the Document Center.
  3. Leave Share with investor checked to share the signed document with the investor who signed and email them a signed copy. Uncheck it to keep the signed document for your team only, with no share and no email to the investor.

Tip

You can change the folder and Share with investor later by editing the template and saving. The new choices apply to agreements completed after you save; documents already filed stay where they are.

Build the template so it's Ready to send

Save the template, then open the signing editor from the drawer and place each role's signature and other fields on the documents. Once you finish in the editor, the template shows as Ready on the Templates tab. Until then it shows as Draft; a copy being made shows Cloning…, or Clone Failed if the copy didn't complete. Only a Ready Custom template can be picked when you send from Send & Tracking.

Warning

Get the documents, their order and the signer roles right before you build the template. Once it's built, Signer Roles is read-only, with no add, remove, rename or reorder controls. Reopening a template lists its files in their saved order, without reordering; while it isn't Ready you can still remove a file, and once it's Ready the documents are fixed and the drawer says so. Files can't be reordered or removed while a clone of the template is in progress. If you need different documents or signers, create a new template.

Cloning a Custom template copies its signer roles in their order and its destination folder, which is a quick way to start a similar template.

Verify it worked

On the Templates tab, find your template and confirm it shows as Ready. Open it to check that Template Type reads Custom, the files are listed in the order you set, Signer Roles lists your roles in signing order with GP last when counter-sign is on, and Post Signing shows the folder and sharing choice you want. Then open Send & Tracking and start a send: the template should be offered in the template list. If the template is still Draft, finish placing fields in the signing editor. If you're still stuck, reach out to our team for help.

When should I use a Custom template instead of an NDA or subscription agreement?
Use Custom for any document you need signed outside the fundraise flow, such as a side letter, a consent or a tax form. NDAs and subscription agreements are set up on a fundraise and signed as investors move through it; a Custom agreement is sent from the holding's Send & Tracking tab to the contacts you choose, with no fundraise involved.
Why isn't my Custom template offered when I try to send?
Only Ready Custom templates are offered. A template that's still Draft, Cloning… or Clone Failed won't appear. Finish placing fields in the signing editor and check that the Templates tab shows the template as Ready. NDA and subscription templates are never offered there.
Where do signed Custom agreements go?
To the Document Center folder you chose under Post Signing, which starts on the holding's Other folder. With Share with investor checked, the signed document is also shared with the investor who signed and they're emailed a signed copy; unchecked, only your team sees it.
Can I change the signers or reorder the documents after the template is built?
No. Once the template is built, its signer roles are read-only and its documents can't be reordered; once it's Ready, its documents are fixed. You can still change the destination folder and Share with investor. To change signers or documents, create a new template.
Can my firm sign a Custom agreement?
Yes. Turn on the GP counter-sign toggle under Signer Roles. GP is added as the last signer, so your firm signs after everyone else has.
