Sign agreements your fund manager sends you

Find and sign agreements your fund manager sends you for a holding, such as side letters, consents or acknowledgements. You can sign from your investor portal or from the link in the email, and you get your signed copy afterwards.

This guide shows you how to sign an agreement your fund manager sends you for one of your holdings, either in your investor portal or from the email, and where to find your signed copy afterwards.

Note

Your fund manager (GP) sends these agreements from a holding you're part of. Examples include a side letter, a consent or an acknowledgement. They're separate from the subscription agreement you sign when you invest, which is covered in Invest in an opportunity. You don't need to set anything up first. When an agreement is ready for you, you get an email with a Review & Sign button.

Sign in your investor portal

If you have access to your fund manager's investor portal, each agreement waiting for your signature appears as its own card under Action Required. The card names the fund manager, the holding and the agreement.

  1. Sign in to your investor portal, or select Review & Sign in the email to go to the portal.
  2. Find the agreement's card in the Action Required panel on your dashboard. The same card also shows in the Action Required panel on that holding's page.
  3. Select Review & Sign on the card. The agreement opens in a signing window on the same page.
  4. Read the agreement, fill in anything it asks for, and sign.
  5. Finish signing in the window. The card disappears from Action Required.

Tip

You might see more than one card for the same holding, or even for the same agreement. Each card is a separate request, so sign each one you're asked to sign. On a holding's page, you only see cards for that holding. Your dashboard shows cards for all your holdings.

Signing without a portal account

You don't need a portal account to sign. If you don't have portal access, the link in the email opens the page for you as the signer. You don't sign up or sign in, and no account is created.

  1. Open the email from your fund manager and select Review & Sign.
  2. Check the page that opens. The header shows your fund manager's name and logo with the label Investment Sponsor, and the holding's name is the page title.
  3. Select Review & Sign next to the agreement's name. The agreement opens for signing on the same page.
  4. Read, complete and sign the agreement. When you're done, a thank-you message confirms you've signed.

Warning

If the page says signing is unavailable, the agreement can't be signed from that link right now. This happens when you've already signed it, when your fund manager cancelled the request, or when someone else has to sign before you. If you're not sure why, contact your fund manager.

When others sign the agreement too

Some agreements need more than one signature, for example a co-signer or your fund manager's counter-signature. People sign one at a time, in the order your fund manager set, and each person is asked only when it's their turn. You won't see a card or get an email until it's your turn. Once you've signed, your card goes away even if others still need to sign after you.

Get your signed copy

Once everyone has signed, including your fund manager if they counter-sign, the agreement is complete. If your fund manager has chosen to share the signed agreement with you, two things happen:

  • You get an email from your fund manager that names the holding, with the signed agreement attached as a PDF. If the file can't be attached, the email tells you the copy is in your investor portal instead.
  • If you have portal access, the signed agreement appears in your documents. You can find it on the portal's Documents page and on that holding's Documents tab.

Tip

The signed-copy email is meant only for you, so don't forward it. To share the agreement, ask your fund manager. If an email asks you to sign something you weren't expecting, check with your fund manager first, or sign in to your investor portal directly to see what's waiting for you.

Check that it worked

In the portal, the agreement's card no longer appears under Action Required once you've signed. On the signing page, you see the thank-you message. If a card is still there after you've signed, or a link doesn't work when you expected to sign, contact your fund manager. They can see where each request stands and send you a reminder or a new request.

Do I need a Covercy account to sign?
No. If you have portal access, you sign in the portal. If not, the link in the email opens a page where you review and sign without creating an account.
Why don't I see an agreement my fund manager said they sent?
If others need to sign before you, the agreement shows up only when it's your turn. If you've already signed, or your fund manager cancelled the request, there's nothing left for you to do. Otherwise, ask your fund manager to check the request and send you a reminder.
The card disappeared after I signed, but nobody else has signed yet. Is that right?
Yes. The card is only for your signature. If others still need to sign, the agreement completes when the last person signs, and then you get your signed copy if your fund manager shares it.
Why didn't I get a signed copy?
The signed copy is sent only after everyone has signed, and only if your fund manager chose to share it with you. If the agreement is complete and you still don't have it, contact your fund manager.
Is this the same as signing my subscription agreement?
No. Your subscription agreement is part of the investment process, which you complete in the investment wizard. The agreements covered here are separate documents your fund manager sends for a holding you're already part of. If you've been asked to co-sign someone else's subscription agreement, though, it reaches you the same way: as a card with Review & Sign, or through the link in the email.
