FUNDRAISING / INVESTOR FLOW

GP-gated or LP-led — your call.

Set the audience, drop the gates where you need them, and let the rest of the journey move on its own. Same flow for every LP on the deal — different per raise.

One flow, four ways to run it

Some raises want a tightly held, GP-approves-every-step process. Others want LPs to self-serve from interest to funded. Most fall somewhere in between. The flow itself should not change between raises — only where you step in.

The fundraise, your way

Configure how investors move through your raise — audience, gates, and approvals.

Who can see this deal?

The investor flow

  1. 1

    Opportunity

Investor views the opportunity details and decides whether to invest.

    Require NDA

Investors must sign an NDA before viewing deal details.

    Require 506(b) Self-Accreditation

Investors complete accreditation verification themselves before viewing gated deal details (also known under SEC rules as "self-certification").

    Non-accredited limit0 / 35

  2. 2

    Entity Details

Investor fills in their investment entity information (individual, LLC, trust, etc.).

  3. 3

    Sign Agreement

Investor reviews and signs their subscription agreement electronically.

  4. 4

    Accreditation Verification

Runs after signing — third-party verification before commitment is approved.

    Require 506(c) Third-Party Verification

Investor verified through a qualified third party in line with SEC verification requirements. Triggered after signature, before commitment is approved.

    Step 3 of 3

    Payment

    ACH debit

One-click ACH debit up to $1M — Plaid-verified, no wire instructions over email.

A fundraise is either a 506(b) raise or a 506(c) raise — never both.

Your configuration

Publicly marketable via a shareable link. No NDA gate. Accreditation is verified by a qualified third party after the investor signs, before their commitment is approved. Investors proceed to entity details on their own. Investors proceed to signing on their own. Funding completes with one-click ACH debit up to $1M, or wire / ACH credit for any amount.

Two gates, two decisions

Between the first three stages, you decide whether the LP advances on their own or waits for you.

To Entity Details

What the GP sees
Investor Proceeds: the LP fills in entity info as soon as they decide to invest. GP Must Approve: every LP sits in your approval queue until you advance them.
What the LP sees
Investor Proceeds: the LP sees a continuous flow. GP Must Approve: the LP sees a clear "awaiting your sponsor" state and a note on next steps.

“Configurability shows up where it matters: one raise lets the LP self-serve from soft-circle to funded, the next has a GP gate at every step. Same platform, two completely different flows.”

GP feedback after running parallel 506(b) and 506(c) raises

One audience, one gate config — per fundraise

A single fundraise sets one audience and one gate configuration. Want to run a private 506(b) raise and a public 506(c) raise at the same time? Spin up two fundraises on the same Covercy account — each independently configured.

  • One fundraise = one audience mode + one gate configuration
  • Multiple fundraises run in parallel on the same account
  • Each fundraise sets its accreditation, gates, and audience independently

Sub-docs and entity info: filled once, reused everywhere

Subscription documents, entity profile, beneficial ownership, and compliance details flow through one guided form. The next deal an LP joins, none of it has to be re-entered — they update what changed and move on.

Your LPs sign in one guided flow — so commitments close in days, not weeks.

Frequently asked questions

What if I want to manually approve every investor before they see deal docs?
Two product levers handle this, individually or together. For pre-discovery control, set the audience to "Invited only" — no LP sees the deal exists unless you invite them. For per-step control during the journey, flip the two inter-stage gates ("To Entity Details" and "To eSignature") to "GP Must Approve" — the LP sees a clear "awaiting your sponsor" state at each handoff, and nothing moves until you advance it.
Can a single fundraise mix 506(b) and 506(c) investors?
No — a given fundraise is either a 506(b) raise or a 506(c) raise, never both, per SEC Reg D. You can run one fundraise as 506(b) and a separate fundraise as 506(c) in parallel on the same Covercy account. Each fundraise sets its own accreditation gate independently.
Does an LP have to redo their entity profile on every deal?
No. Entity information, beneficial ownership, and compliance details are captured once. On the next deal, the LP reviews what they already entered, updates what changed, and moves on — without restarting from a blank form.
What does the "awaiting your sponsor" screen look like to the LP?
A clear status note with the next step and an estimated turnaround. The LP knows exactly where they are in the flow and what is blocking them, so they do not refresh, email, or call.

Configure the flow that fits your raise.
