Your raise, your rules

You decide what LPs do themselves — and where you step in.

Set the audience, the NDA and accreditation gates, and per-step approvals for this fundraise. Flip the audience to public and you are running a 506(c) raise; keep it to named investors and you are in 506(b). Configure it below — it is deal setup, not a step of closing.

Who can see this deal?

The investor flow

  1. 1

    Opportunity

Investor views the opportunity details and decides whether to invest.

    Require NDA

Investors must sign an NDA before viewing deal details.

    Require 506(b) Self-Accreditation

Investors complete accreditation verification themselves before viewing gated deal details (also known under SEC rules as "self-certification").

    Non-accredited limit0 / 35

  2. 2

    Entity Details

Investor fills in their investment entity information (individual, LLC, trust, etc.).

  3. 3

    Sign Agreement

Investor reviews and signs their subscription agreement electronically.

  4. 4

    Accreditation Verification

Runs after signing — third-party verification before commitment is approved.

    Require 506(c) Third-Party Verification

Investor verified through a qualified third party in line with SEC verification requirements. Triggered after signature, before commitment is approved.

    Step 3 of 3

    Payment

    Payment Summary
    Investment Amount$100,000

    ACH debit
    Bank transfer

One-click ACH debit up to $1M — Plaid-verified, no wire instructions over email.

A fundraise is either a 506(b) raise or a 506(c) raise — never both.

Your configuration

Publicly marketable via a shareable link. No NDA gate. Accreditation is verified by a qualified third party after the investor signs, before their commitment is approved. Investors proceed to entity details on their own. Investors proceed to signing on their own. Funding completes with one-click ACH debit up to $1M, or wire / ACH credit for any amount.

Why GPs run their raise on Covercy

Fundraising is not a bolt-on — the CRM, deal page, agreements, compliance, and funding share one set of investor and deal data, so a commitment carries forward from first intro to wired without anyone re-keying it.

$29B

One connected raise, not six tools

CRM data pre-fills the subscription doc, a signed doc carries the amount into verification, and verified commitments land in the cap table — the data moves so your team does not have to.

Your raise, your rules

Set the audience, NDA and accreditation gates, and per-step approvals per fundraise — run a private 506(b) raise and a public 506(c) raise in parallel on the same account.

Commitments become cash the same day

Plaid-verified ACH up to $1M and wire or ACH credit for any amount, domestic or cross-border, settle into a live, class-aware cap table — for the first close and every capital call after.

Compliant without stalling the raise

Reg D accreditation, secure entity and tax-identity collection, and verification run inside the flow, so compliance keeps the deal moving instead of stopping it.

What GPs say about their Covercy raises

“We checked out the competition of similar group investment payment portals and found Covercy to be head and shoulders above the competition. Covercy is extremely flexible and accommodates the needs of our diverse group of both large and small investors.

Glen Lesnick
Glen Lesnick
Founder, R & B Properties

“By bringing everything into one platform, we have transparency both to our investors and to our business organization as a whole. Being able to create reports is much simpler and easier to understand the information being shown from an investor's point of view.

Frequently Asked Questions

What does it mean to run the whole raise on one platform?
From the first investor intro to the wire, every phase lives in Covercy: an investor CRM, a branded deal page, NDA and subscription e-signature, Reg D accreditation and verification, and ACH/wire funding into a live cap table. Because they share one set of deal and investor data, a commitment carries forward across phases without re-keying or exporting between tools.
Can I control what investors do themselves versus where I step in?
Yes. The configurator sets the audience (invited only, related investors, all contacts, or anyone with a link), the NDA and accreditation gates, and whether each step auto-proceeds or waits for your approval — configured per fundraise, not per platform contract.
Does Covercy support both 506(b) and 506(c) raises?
Yes. A fundraise is configured as either a 506(b) raise (private, existing relationships, up to 35 non-accredited investors) or a 506(c) raise (publicly marketable, accredited only, third-party verification). You can run one of each in parallel on the same account, each with its own gate configuration.
How do investors fund their commitment?
Investors pay by Plaid-verified ACH up to $1M, or by wire or ACH credit for any amount, domestic or cross-border. Each payment reconciles into a live, class-aware cap table as it settles — for the initial close and every future capital call.
Is fundraising included in Covercy One pricing?
Fundraising is part of the Covercy One platform, with banking and payments built in. See the pricing page for tier details, and book a demo to walk the flow against your own deal structure.
