    Require NDA

Investors must sign an NDA before viewing deal details.

    Require 506(b) Self-Accreditation

Your configuration

Publicly marketable via a shareable link. No NDA gate. Accreditation is verified by a qualified third party after the investor signs, before their commitment is approved. Investors proceed to entity details on their own. Investors proceed to signing on their own. Funding completes with one-click ACH debit up to $1M, or wire / ACH credit for any amount.

Built for the way modern raises actually run

Eight capabilities that close the loop from website visit to wire confirmation — all on one platform, all flowing straight into your cap table.

From private to mass-market — all on one platform

Run a private raise (Invited only), a semi-private one (Related investors or All contacts in your CRM), or a fully public one (Anyone with a link — shareable on your website, in paid campaigns, on social). The audience is yours to set per fundraise, and the rest of the platform doesn't change.

Market 506(c) deals; verify investors after they sign

Open public marketing is enabled by handling verification at the right point in the journey: an investor can sign a 506(c) subscription openly, and the platform auto-triggers third-party accreditation verification after they sign, before commitment is approved — in line with SEC verification requirements for publicly solicited offerings.

Run 506(b) raises with on-platform self-accreditation

A guided wizard walks each LP through self-accreditation (also known under SEC rules as "self-certification"). A built-in non-accredited investor counter and GP approval queue keep your 35-investor limit honest without spreadsheets.

Sub-docs and entity info captured once, reused everywhere

Subscription documents, entity profile, beneficial ownership, and compliance details flow through one guided form. The next deal an LP joins, none of it has to be re-entered.

Six-figure investments, one-click experience

Plaid-verified bank accounts and ACH debit fund commitments up to $1M in the same number of clicks as a $25 cart checkout — with the banking infrastructure required for institutional-size capital. Need to wire $5M? Same platform, no investment ceiling: ACH credit and wire cover any amount, domestic or cross-border.

Neo knows your investor base

The CRM behind Covercy One is queryable in plain English. Segment your investors by past ticket size, asset class, or geography, and draft the next outreach without leaving the conversation.

Show me LPs who invested $100K–$150K in multifamily deals.

Draft an email to them about our new Sun Belt fund.

Watch your cap table build as commitments come in

Every signed commitment lands in your cap table the moment it is signed — class-aware, position-level, no post-raise reconciliation. The cap table is built during the raise, not assembled from receipts after.

Track every soft circle through to signed

A pipeline view shows where every prospect stands — interested, NDA-signed, verified, committed, funded. Funnel emails nudge the right LPs at the right moment, automatically.

Two-sided value, end to end

Fundraising is a relationship business. Every capability lands on both sides of that relationship — and brings the GP a measurable outcome.

FOR GPs

Pipeline visibility, no manual chasing, control where you need it.

Open a dashboard and see every prospect, every commitment, every funded position — without stitching three vendor reports together. Run private, semi-private, or fully public raises on one platform: a 506(c) raise can be marketed openly because the platform auto-triggers third-party verification after the investor signs, before commitment is approved. Ask Neo who is most likely to join your next raise and let the AI segment your investor base in seconds.

FOR LPs

One link, one professional experience, one entity profile reused across every deal.

Your investors arrive at a branded landing page, sign documents in a single guided flow, and fund six-figure commitments in clicks — without printing, scanning, or wiring instructions over email. The entity profile they fill once carries through to your next raise. Better experience, faster closes, stronger retention.

Frequently asked questions

Can I run a 506(b) and a 506(c) raise on the same platform?
A given fundraise is either a 506(b) raise or a 506(c) raise — never both, per SEC Reg D. On one Covercy account, though, you can run one fundraise as 506(b) and a separate fundraise as 506(c) in parallel. Each fundraise sets its own accreditation gate independently.
How does Covercy handle accredited-investor verification for 506(c) deals?
For any fundraise configured as 506(c), the platform auto-triggers third-party accreditation verification after the investor signs the subscription agreement, before their commitment is approved. This post-sign timing is what enables open public marketing of 506(c) deals: the marketing reaches anyone with the link, while verification — in line with SEC verification requirements for publicly solicited offerings — happens at the moment the platform has the most information about the investor.
What if I want to manually approve every investor before they see deal docs?
Two product levers handle this, individually or together. For pre-discovery control, set the audience to "Invited only" — no LP sees the deal exists unless you invite them. For per-step control during the journey, flip the two inter-stage gates ("To Entity Details" and "To eSignature") to "GP Must Approve" — the LP sees a clear "awaiting your sponsor" state at each handoff, and nothing moves until you advance it.
Does my LP need an account before they can see the deal?
No. Investors arrive at a branded landing page directly from a referral link, InvestNow embed, or invitation. Account creation only happens when the LP commits to engaging with the deal — and even then, it is part of the guided flow, not a separate step.
How large can an ACH-debit investment be?
ACH debit supports commitments up to $1M. For larger amounts, investors fund via ACH credit or wire — same platform, no investment ceiling. Both rails are available on every fundraise.
Can Neo answer questions about my CRM data, like which investors did multifamily before?
Yes. Neo queries the CRM in plain English — segment by past ticket size, asset class, geography, or any combination — and can draft follow-up communications from the same conversation. The CRM and the AI are part of one platform, not bolted-on integrations.
How does my cap table stay in sync as commitments come in?
Every signed commitment lands in the cap table the moment it is signed — class-aware, position-level. There is no end-of-raise reconciliation step. The cap table you see during the raise is the cap table you ship to admins after.
